Terms and Conditions:

Red Ribbon Bakeshop, Inc. and its affiliates (collectively, “Red Ribbon,” “us,” “we,” or “our”) are pleased to provide its Picture Perfect Cakes program. 

Please review these Picture Perfect Cakes Terms and Conditions (“Terms”) before you upload any image or photograph (“Image”) to be used by Red Ribbon to make you a personalized Picture Perfect Cake. These Terms govern the permitted Images you may upload for your Picture Perfect Cake.  By uploading an Image or purchasing a Picture Perfect Cake with an Image on it, you must accept and agree to these Terms. 

The Image that you upload may not contain, and you hereby represent and warrant that the Image does not contain, any content that: 

• infringes upon intellectual property rights, including but not limited to copyrights or trademarks, rights of privacy or publicity, or any other rights, of any third party;  
• is defamatory or makes any fraudulent, false, misleading, derogatory, or disparaging statements or suggestions;  
• violates any law, rule, or regulation;  
• is sexually explicit or suggestive, obscene, profane, or offensive; 
• is derogatory or discriminatory of any ethnic, racial, gender, religious, professional, age group, or any other protected class; 
• is violent or promotes the use of violence, or promotes any activities that may be unsafe or dangerous; 
• promotes any political agenda or message; 
• endorses any form of hate or affiliation with any hate group; 
• includes or promotes the use of alcohol, illegal drugs, tobacco, cannabis, or weapons; or 
• communicates messages or ideas inconsistent with Red Ribbon’s brand or goodwill.  

 

You further represent and warrant that prior to uploading the Image for a Picture Perfect Cake, you have reviewed the Image and confirmed it does not contain any of the prohibited types of content above. 

Red Ribbon reserves the right to refuse to use any Image to create a Picture Perfect Cake that Red Ribbon determines, in its sole discretion, contains any of the above prohibited types of content, or for any other reason. 

You acknowledge that Images and colors may be distorted and/or changed during the printing process. Red Ribbon cannot guarantee that the uploaded Image will appear as expected once printed as an edible image.  Payment for your Picture Perfect Cakes cake is required in advance.  Once payment is submitted, all purchases are final and no returns, exchanges, or refunds are permitted. 

You hereby grant Red Ribbon the right, license, and permission to use, display, and exploit your uploaded Image, and any material or improvements based thereon or derived therefrom, in any manner, in any and all forms of media (whether now or hereafter known), anywhere in the world, in perpetuity, irrevocably, and royalty-free, for the purpose of creating a Picture Perfect Cake that includes the Image upon it, for no compensation from Red Ribbon.  You hereby agree to indemnify, defend, and hold harmless Red Ribbon from and against any and all claims, damages, liabilities, fines, costs, and expenses (including, without limitation, reasonable attorneys’ fees and costs) arising out of or relating to the Image. 

You agree that Red Ribbon shall not be liable for any claims arising out of (i) the Image or Red Ribbon’s preparation any Picture Perfect Cake prepared for you (or any failure of Red Ribbon to properly produce the Picture Perfect Cake); and (ii) any use, alteration, or distortion of the Image you upload, or any unauthorized use of the Image or any Picture Perfect Cake including the Image. 

You further agree that Picture Perfect Cakes are not for resale, and that you will not resell the Picture Purchase Cake to any third party.
